If you delete this folder you will simply corrupt your Operating System.

windows is based on system 32 :| ,system 32 helping programs to work ... press CTRL+ALT+DEL and you will see all your programs are runing in system32

If you Delete System32 Your computer will crash and you will have to reinstall the whole operating system so you can get it running again which is system 32 on a 32bit computer and is part of the 64bit systems!!!

There is no sys file in system32 folder called system32,I've got that file sometimes too,and that's a virus.
The virus copies itself to odd places and runs itself,best way to get rid is Antivirus,but if you can't do that,delete manually from safe mode.
NB! Don't delete system32.dll if that file is there,only system32.exe,use safe mode,don't delete anything else from system32 folder,it may corrupt your system,if you don't know what you're doing,try AV only or get a specialist.

To be exact this is a Trojan Horse which is able to hide itself, monitor applications, record inputs. A while ago there was a word that even the government and big corporations such us Windows and Adobe were actually distributing this trough updates so they can monitor the "Illegal" actions that users make!
But to remove it you could try this malware removal (Works perfectly)
Go to www.download.com/or some search in google for Malwarebytes-Free and run a scan and it will get it off.
NOTE: Read Jantsux post so you can have better understanding/and why you shouldn't do it manually!
